A team of Haynes and Boone, LLP lawyers served as counsel for Goodman Networks Incorporated in its acquisition of Multiband Corporation, a Minneapolis, Minnesota-based, publicly traded company.
The Haynes and Boone deal team was led by Dallas Partner Greg Samuel and included Dallas Partners Paul Amiel and Bruce Newsome, Dallas Of Counsel Jennifer Wisinski, San Antonio Partner Laura O’Donnell and Dallas associates Jennifer Carter, Matt Fry, Andrew Lock, Brandon McCoy and Monika Sanford.
The terms of the definitive merger agreement indicate that Goodman Networks will pay $3.25 per Multiband common share, redeem all of Multiband’s outstanding preferred stock and repay Multiband’s outstanding bank indebtedness in an all cash transaction, for a total of consideration of approximately $116 million. The transaction is expected to close in the third quarter.
Once the transaction is complete, Multiband will operate as a wholly-owned subsidiary of Goodman Networks.
