Bracewell & Giuliani LLP is representing Kinder Morgan Energy Partners, L.P. in its approximately $920 million purchase from Petrohawk Energy Corporation of Petrohawk’s 50 percent interest in KinderHawk Field Services and a 25 percent interest in Petrohawk’s natural gas gathering and treating business in the Eagle Ford Shale.

Kinder Morgan also will invest approximately $220 million to build a new crude/condensate pipeline that will transport condensate for Petrohawk from its production area in the Eagle Ford Shale to the Houston Ship Channel.

Upon closing, Kinder Morgan will own 100 percent of KinderHawk, the largest natural gas gathering and midstream business in the Haynesville Shale of northwest Louisiana. KinderHawk was formed in 2010 as a 50/50 joint venture between Kinder Morgan and Hawk Field Services, LLC, a subsidiary of Petrohawk.
