Norman R. Miller joins the international law firm Greenberg Traurig, LLP as a shareholder in its Corporate and Securities Practice. Miller will maintain offices in Houston and Dallas. Prior to joining Greenberg Traurig, Miller was a partner at Winstead.

Miller advises public and private companies and funds on a wide range of corporate and securities matters. He focuses his practice on capital raises, including IPOs, public offerings of debt and equity, PIPEs and Rule 144A/Regulation S offerings, and private placements. Miller represents clients on mergers and acquisitions (and cross-border mergers and acquisitions), divestitures and split-ups. He handles compliance matters for public companies involving SEC reporting and disclosure obligations, as well as NYSE and Nasdaq rules. Miller counsels boards of directors as well as audit, compensation, and nominating and governance committees on corporate governance issues. He also advises special committees of independent directors. Miller is experienced in matters involving hostile tender offers, proxy contests, activist shareholders and institutional shareholders. He also provides transactional and corporate representation to private equity funds and their portfolio companies. Miller represents corporate borrowers in connection with both the creation and the restructuring of credit facilities as well as consent solicitations of bond holders. He also serves as outside general counsel for public and private companies and advises companies on whistleblower claims.

With more than 30 years of experience, Miller is known for providing strategic legal solutions to complex corporate challenges. Since 2010, he has completed five major bracket public offerings for a premier Texas financial institution. He also represented a company and the selling shareholders, respectively, in two IPOs (homebuilding and energy services), each in excess of $100 million. Miller completed three capital raises for community banks, two of which were in excess of $30 million, and negotiated an acquisition agreement of a publicly held restaurant company by a well-known Houston-based restaurant company.

Miller handles transactions across various industries, including energy and energy services, financial institutions, community banks, media, health care, homebuilding, and hospitality and restaurants.

Miller earned his J.D. from Harvard Law School, and a B.A., with distinction, from Northwestern University.
