A team of Haynes and Boone, LLP attorneys advised PlainsCapital Corporation in signing a definitive merger agreement with Hilltop Holdings Inc., a Dallas-based holding company.
Under terms of the merger announced today, PlainsCapital Corporation – the financial services holding company for PlainsCapital Bank, PrimeLending and FirstSouthwest – will become a subsidiary of Hilltop.
Haynes and Boone lawyers advised PlainsCapital on the securities and corporate law matters involved in the merger. Dallas partners Mike Boone and Greg Samuel, and Dallas associates Matthew Fryand Madison Jones handled the corporate aspects of the deal. Dallas Partner Susan Wetzel and Dallas Associate Chris Kang advised on benefits issues.
Stephens Inc. acted as financial advisor to Hilltop, and Wachtell, Lipton, Rosen & Katz acted as legal advisor. JPMorgan Securities LLC acted as financial advisor to PlainsCapital Corporation, and Sullivan & Cromwell also acted as legal advisor.
