The firm is representing Petrohawk Energy Corporation in connection with its acquisition by BHP Billiton in a transaction valued at approximately $15.1 billion.  The transaction, which is subject to at least a majority of the outstanding Petrohawk shares being tendered and other customary conditions, is expected to be completed in the third quarter of 2011.

Petrohawk Energy Corporation is an independent oil and natural gas company and a leader in the exploration and development of shale plays in the United States.  Its operations are concentrated primarily in three core areas: the Haynesville/Lower Bossier Shales of Northwest Texas, the Eagle Ford Shale of South Texas and various Permian Basin Shales in West Texas.
